right, but you are saying that I was saying that there is NO relationship between UD and Razor.

I never said that.

I don't have the time or energy, but I suspect that Brian Gray said that.

If there is an alleged loan between UD and Edgeman, and Edgeman no longer exists, does Brian Gray not owe UD the money?
You're an attorney Jeff...therefore you know the difference between legal entities right? I assume that Edgeman was incorporated or an LLC, therefore the debts etc...of that entity would be tied to the entity itself...not Brian.

Of course, that's assuming Brian wasn't piercing his own corporate veil from co-mingling funds, gross negligence, poor record keeping, etc. Of course, from what little we seem to know of the actual goings on between Brian, Razor, and Edgeman we could probably assume just as easily that record keeping, proper financial records etc were not kept up to the basic requirements of personal asset protection inherent in legal business entities.

Regardless, all of it is a mess for Razor and Brian.

Exactly my point. We don't know anything about his financial dealings. If everything was done correctly, and the loan was to Edgeman, LLC/LLP, then the debt dies when the company dissolves so long as the funds from Edgeman don't get siphoned into Razor.

There are MANY MANY ways to pierce the corporate veil, and I'm willing to bet that UD's team is ready to pounce should the need arise. I suspect that BG realizes same and, if there is a debt, keeps it alive with payments in "exclusive players".
